Engagement terms.
When you engage TISSA for services, the specific terms — scope, fees, deliverables, timelines, and ownership of work product — are set out in a signed engagement letter. The engagement letter always governs. These Terms apply to everything not explicitly addressed in that letter.
Work product created for you under an engagement becomes your property upon full payment, unless the engagement letter specifies otherwise. TISSA retains the right to describe the engagement and its outcomes in anonymized form for case studies, unless you request otherwise in writing.
Disclaimers.
The Site and its content are provided “as is.” TISSA makes no warranty that the Site will be uninterrupted or error-free. The essays, frameworks, and resources on the Site are for informational purposes. They are not legal, financial, or accounting advice. Engage a licensed professional for advice in those fields.
Limitation of liability.
To the maximum extent permitted by law, TISSA shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Site or from any engagement. Our total liability for any claim arising from an engagement shall not exceed the fees paid by you for that specific engagement.
Governing law.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law provisions. Any dispute arising under these Terms shall be resolved in the courts of New York County, New York.
Changes to these terms.
We may update these Terms from time to time. Changes will be posted on this page with an updated “Effective date.” Continued use of the Site after changes constitutes acceptance. Changes never apply retroactively to signed engagement letters already in force.
